EasySites - Terms and Conditions
These Terms and Conditions ("Terms") govern your use of EasySites ("the Service"), a content management system provided by Business Direct Online Ltd. By accessing or using the Service, you agree to be bound by these Terms in full.
If you do not agree with these Terms or any portion thereof, you must not use our Service.
1. Definitions
"We", "Us", "Our" refers to Business Direct Online Ltd, trading as EasySites.
"You", "Your", "User" refers to any individual or entity using our Service.
2. Intellectual Property and Ownership

Templates and Platform: We retain all rights, title, and interest in and to any templates, designs, tools, or other elements provided through our Service (collectively, the "Templates"). You are granted a limited, non-exclusive, non-transferable licence to use these Templates solely within the EasySites platform for the duration of your subscription or contract with us. You may not use, copy, distribute, or replicate any of our Templates outside EasySites without our prior written permission.

Uploaded Content: You retain ownership of any text, images, videos, or other materials (collectively, "User Content") that you upload, post, or otherwise make available via the Service. By uploading or submitting any User Content, you represent and warrant that you have all necessary rights to grant us a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, modify, and display that User Content for the purpose of operating and providing our Service.

Website Files and Data: All files, data, and material (excluding User Content) residing on our servers that support your website design, layout, and structure (including the Templates) remain our exclusive property. While you own the intellectual property in your specific content, the overall website framework and code developed by EasySites is owned by us. Any transfer or migration of these frameworks or code is at our sole discretion and may incur additional costs.
3. Costs, Fees, and Site Migration
- Subscription Fees: Use of the Service may be subject to fees, subscription costs, or other charges, as detailed in our pricing or contract documents.
- Migration Costs: Should you wish to move your website or any part thereof from EasySites to another hosting provider or platform, we reserve the right to charge a reasonable migration fee. This fee covers any technical work, data transfer, or support costs associated with such migration.
- Refunds: We do not guarantee refunds for early subscription termination unless otherwise stated in a separate written agreement.
4. Acceptable Use of the Service
- You must not use the Service in any way that may cause damage to the Service, its availability, or accessibility, or in any manner which is unlawful, illegal, fraudulent, or harmful.
- You must not upload, store, host, transmit, or distribute any material that:
- Is illegal, infringes any third party's intellectual property or privacy rights, or violates confidentiality obligations.
- Contains viruses, Trojan horses, malware, or other harmful software.
- Is defamatory, obscene, abusive, or otherwise objectionable in our sole discretion.
- You must not engage in systematic or automated data collection activities (including but not limited to scraping, data mining, and data extraction) on or in relation to the Service without our express written permission.
- You must not create unauthorised links or embed files stored on EasySites without our prior written consent (sometimes known as “hotlinking”).
5. User Content and Copyright Infringement
- Compliance with Laws: You are solely responsible for ensuring that your User Content complies with all applicable laws and regulations, including copyright and intellectual property laws.
- Representations and Warranties: By submitting any User Content, you represent and warrant that:
- You have all necessary rights, licences, and permissions to use and to authorise us to use such User Content in accordance with these Terms.
- Your User Content will not infringe or misappropriate any third party's intellectual property, privacy, or other rights.
- Your User Content is accurate and not misleading.
- Removal and Moderation: We reserve the right to remove, suspend, or disable any User Content that violates these Terms or that we deem inappropriate or potentially infringing, at our sole discretion and without notice.
6. Restricted Access
We may restrict access to certain areas of the Service at our discretion. If we provide you with a username and password to access restricted areas, you are responsible for maintaining the confidentiality of your credentials. We reserve the right to disable or terminate your access at any time, without notice or explanation.
7. Account Security and No Third-Party Access
- You must not share your username, password, or any other account credentials with any third party without our prior written consent.
- You remain fully responsible for all activities conducted under your account, whether authorised by you or not. If you choose to share your account credentials (with or without our consent), you do so entirely at your own risk, and we shall not be liable for any damage or loss resulting from any such third-party access.
- You agree to notify us immediately of any unauthorised use of your account or any other breach of security.
8. Limitation of Warranties
- We do not guarantee the accuracy, reliability, or completeness of any information provided through the Service.
- We do not guarantee that the Service will be available at all times or that it will be error-free.
- To the maximum extent permitted by law, we exclude all warranties, express or implied, relating to the Service, including but not limited to warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
- Nothing in these Terms shall exclude or limit liability for death or personal injury resulting from our negligence, fraud, or fraudulent misrepresentation.
- To the extent permitted by applicable law, we shall not be liable for any indirect, consequential, special, or incidental damages, including but not limited to loss of data, loss of profit, or business interruption, arising from or related to the use or inability to use the Service.
- Our total liability to you for any claim arising from or relating to these Terms shall not exceed the amount actually paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold us (including our directors, employees, agents, and affiliates) harmless from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or in any way related to your use of the Service, your User Content, or your breach of these Terms.
11. Termination and Breach
- We reserve the right to suspend or terminate your access to the Service, at our sole discretion, for any reason, including if you violate these Terms.
- In the event of termination or expiration of your subscription, we may, but are not obliged to, retain your data for a limited period in accordance with our data retention policies. After such a period, your data may be irretrievably deleted.
- Upon termination, your right to use the Templates and any proprietary EasySites material ceases immediately, and any ongoing use of such material without our written consent is strictly prohibited.
12. Policy Updates and Variation
We may revise these Terms at any time by posting an updated version on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
13. Assignment
- We may transfer, assign, or otherwise dispose of our rights and obligations under these Terms without notifying you or obtaining your consent.
- You may not transfer or assign any of your rights or obligations under these Terms without our prior written consent.
14. Severability
If any provision of these Terms is found by a court or other competent authority to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable part shall be enforced to the maximum extent permissible.
15. No Third-Party Rights
These Terms are for the benefit of you and us, and are not intended to confer any rights or benefits on any third party. No third party shall have the right to enforce any of these Terms.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and us regarding your use of the Service, and supersede all prior agreements and understandings.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
